1. Definition

In this terms of service;

1.1 The Creator refers to a person who created the original artwork, hereinafter referred to as the "Services".
1.2 The Client refers to a person or organization that uses the Services of the Creator in exchange for paying remuneration to the Creator
1.3 The Holder refers to a person or organization who has the right to possess the Creator’s artwork.

2. artwork rights

2.1 The creator has exclusive rights to the artwork, including copyright, the right to post the artwork with a watermark on social media, portfolios, promotions, or any other similar use, and**
2.2 The creator has moral rights regarding the artwork. The holder of the artwork shall not claim the design rights or misrepresent, by any act or omission, the artwork as his or her own work, or imply that he or she is the creator of the artwork, or do anything that would damage the reputation of the creator of the artwork.
2.3 The Holder of the work will not modify, copy, redraw, train AI (Artificial Intelligence) or do anything illegal that violates the rights under Sections 2.1, 2.2.
2.4 The holder of the artwork will not use the artwork for commercial purposes unless permission has been obtained for such commercial use.
2.5 In the case of a Non-Disclosure Agreement (NDA), the client will pay the creator a double (x2) net commission for not using the artwork for any purpose under Section 2.1.
2.5 For distribution credits, the creator must be identified as: @Jia_Hui01

3. commercial license

3.1 The artwork rights mentioned in the above sections include usage in accordance with the terms of this section.
3.2The commercial use license agreement must be in writing and signed by both parties. A new license must be made each time the work is transferred and/or delivered to the transferee.
3.3Commercial licenses require an additional fee equal to three times (×3) the personal use price as compensation for the commercial use of the copyrighted work.
3.4 A commercial license grants you the right to use the artwork for commercial purposes, including the reproduction of multiple copies or files.
3.5 The right to use the artwork for commercial purposes is terminate when ownership of the artwork changes.
3.6 Any person using the artwork without a valid commercial license shall be in breach of this contract and shall pay five times (×5) the original price as a penalty without any notification by the Creator.

4. How to order

4.1 Requests must be sent via Direct Message (DM) or through VGen
4.2 References must be clear and in full color, including any extra items and props.
4.3 The Client must submit the order confirmation within 3 days upon reaching the queue.
4.4 Additional designs beyond the details provided in the initial request under Section 4.2 will not be accepted.
4.5 The creator will not accept any urgent requests.

5. PROCESS

5.1 A rough sketch will be sent within 1–3 days after receiving the request following clause 4. If there is a queue, the sketch will be sent after the previous work is completed.
5.2 During the sketch process, the Client has the right to adjust, change, or edit both minor and major details without any additional fee.
5.3 After the sketch is approved, the Creator will continue working once payment has been received. The payment process shall be subject to Clause 6. payment
5.4 Once the sketch has been approved, the Client can not request any further changes unless the Creator has made a mistake at the final work (e.g., missing minor details or incorrect elements based on the provided reference).
5.5 The estimated production time is 1 week to 1 month per work. This timeframe may vary depending on the complexity of the project.
5.7 Final submissions will be sent via email or Google Drive. (Contributions in Google Drive will be deleted within 7 days of upload.)

6. payment

6.1 The Client shall pay the full amount within 3 days of receiving the payment request.
6.2 The payment method must be agreed upon by both parties. (PayPal, Wise, Vgen)
6.3 The currency used for payment must be Thai baht. If it is a foreign currency, the customer must pay in US dollars.

In this terms of service;

7.1 This agreement will be terminated under the following conditions without prior notice:

7.1.1 The deadline specified in clauses 4.3 or 6.1 has expired.
7.1.2 Cancellation is initiated by either party.
7.1.3 The Creator refuses the request for any reason.

7.2 The creator shall not be liable for any damages not caused by the creator's fault in any case, including claims for damages outside the contract and service, and default interest.
7.3 The creator will not refund any payment made for any reason, except in cases of cancellation by the creator or in cases of fault for which the creator is solely responsible.
7.4 In the event that the creation of a work is partially impossible, if the impossible portion is still useful to the customer, the customer may accept the work that is still useful, deducting the impossible portion from the refund, or refuse the entire work and request a full refund. (For example, if the creator is unable to continue drawing the background for a work with characters and a background, the customer may request only the characters and the creator will refund the background fee.)
7.5 In case of a refund, the creator will be liable for no more than the net amount received after deducting fees from the bank or other service provider that provided the payment (e.g., if a payment of 100 is made, the bank deducts a 5% fee, the amount received after deducting fees is 95. Will be the refund amount from the creator).

1. นิยาม

ในเงื่อนไขการให้บริการนี้;

1.1 ผู้สร้างสรรค์ หมายถึงบุคคลที่สร้างสรรค์ผลงานศิลปะต้นฉบับ ซึ่งต่อไปนี้จะเรียกว่า "บริการ"
1.2 ลูกค้า หมายถึงบุคคลหรือองค์กรที่ใช้บริการของผู้สร้าง เพื่อแลกกับการจ่ายค่าตอบแทนให้แก่ผู้สร้าง
1.3 ผู้ถือครอง หมายถึงบุคคลหรือองค์กรที่มีสิทธิ์ครอบครองผลงานศิลปะของผู้สร้าง

2. สิทธิ์ในผลงานศิลปะ

2.1 ผู้สร้างสรรค์มีสิทธิ์แต่เพียงผู้เดียวในผลงานศิลปะ รวมถึงลิขสิทธิ์ สิทธิ์ในการโพสต์ผลงานศิลปะพร้อมลายน้ำบนโซเชียลมีเดีย พอร์ตโฟลิโอ (Portfolio) การโปรโมต หรือการอื่นใด ที่คล้ายคลึงกัน และ**
2.2 ผู้สร้างสรรค์มีสิทธิ์ทางศีลธรรม (Moral right) เกี่ยวกับผลงานศิลปะผู้ถือครองผลงานจะไม่อ้างสิทธิ์ในการออกแบบ หรือบิดเบือนข้อเท็จจริงใดๆ ไม่ว่าโดยการกระทำหรือการละเว้น ผลงานศิลปะดังกล่าวว่าเป็นผลงานของตนเองหรือ แสดงตนว่าผู้สร้างสรรค์ผลงาน หรือกระทำการใดให้ผู้สร้างสรรค์ผลงานเสื่มเสียแก่ชื่อเสียง
2.3 ผู้ถือครองผลงานจะไม่แก้ไข ลอกเลียน วาดใหม่ เทรนเอไอ (Artificial Intelligence) หรือกระทำการใดๆ อันมิชอบด้วยกฎหมาย ที่ฝ่าฝืนสิทธิ์ภายใต้ข้อ 2.1, 2.2
2.4 ผู้ถือครองผลงานศิลปะจะไม่นำผลงานศิลปะไปใช้เพื่อวัตถุประสงค์เชิงพาณิชย์ เว้นแต่จะได้รับอนุญาตใช้ผลงานดังกล่าวในเชิงพาณิชย์
2.5 ในกรณีของข้อตกลงการไม่เปิดเผยข้อมูล (NDA) ลูกค้าจะต้องชำระค่าคอมมิชชั่นสุทธิสองเท่า (×2) เป็นค่าตอบแทนผู้สร้างสรรค์ผลงานในการไม่นำผลงานศิลปะดังกล่าวไปใช้ในการกระทำภายใต้ ข้อ 2.1
2.5 เครดิตสำหรับนำผลงานศิลปะเผยแพร่ ให้ระบุชื่อผู้สร้างในนาม: @Jia_Hui01

3. การอนุญาตใช้ผลงานเชิงพาณิชย์

3.1 สิทธิ์ในผลงานศิลปะที่กล่าวถึงในส่วนข้างต้นรวมถึงการใช้งานตามข้อกำหนดของส่วนนี
3.2สัญญาอนุญาตใช้ผลงานเชิงพาณิชย์ต้องทำเป็นหนังสือลงลายมือชื่อผู้รับผิดทั้งสองฝ่าย ต้องทำหนังสือใหม่ทุกครั้งหากได้มีการ โอน และหรือ ส่งมองผลงานให้กับผู้รับโอน
3.3สัญญาอนุญาตเชิงพาณิชย์ต้องเสียค่าธรรมเนียมเพิ่มเติมเท่ากับสามเท่า (×3) ของราคาการใช้งานส่วนบุคคล เป็นค่าตอบแทนการนำผลงานอันมีลิขสิทธิไปใช้ในการแสวงหาผลกำไร
3.4 สัญญาอนุญาตใช้ผลงานเชิงพาณิชย์ให้สิทธิ์ในการใช้ผลงานศิลปะเพื่อวัตถุประสงค์เชิงพาณิชย์ รวมถึงการทำซ้ำสำเนาหรือไฟล์หลายชุด
3.5 สิทธิการใช้ผลงานศิลปะในเชิงพานิชย์เสียไปเมื่อได้มีการเปลี่ยนแปลงผู้ครอบครองผลงาน
3.6 บุคคลใดนำผลงานศิลปะไปใช้โดยไม่มีสัญญาอนุญาตใช้ผลงานเชิงพาณิชย์ที่ถูกต้อง ถือว่าผิดสัญญานี้ และต้องจ่ายค่าปรับห้าเท่า (×5) ของราคาเดิม โดยไม่ต้องแจ้งให้ผู้สร้างทราบล่วงหน้า

4. การรับงาน

4.1 ลูกค้าส่งคำขอผ่านข้อความส่วนตัว (DM) หรือ VGen
4.2 รูปอ้างอิงต้องชัดเจนและมีสีครบถ้วน รวมถึงสิ่งของและอุปกรณ์ประกอบฉากเพิ่มเติม
4.3 ลูกค้าต้องส่งคำยืนยันการสั่งซื้อภายใน 3 วันนับจากวันที่ถึงคิว
4.4 จะไม่รับแบบเพิ่มเติมนอกเหนือจากรายละเอียดที่ให้ไว้ในคำขอครั้งแรก ภายใต้ข้อ 4.2
4.5 ผู้สร้างสรรค์ผลงานไม่รับคำของานเร่งด่วนทุกกรณี

5. ขั้นตอนการทำงาน

5.1 แบบร่างคร่าวๆ จะถูกส่งให้ลูกค้าภายใน 1-3 วันหลังจากได้รับคำขอตามข้อ 4 หากมีคิวงานอื่นก่อน จะส่งแบบร่างหลังจากงานก่อนหน้าเสร็จสมบูรณ์
5.2 ในระหว่างขั้นตอนการร่าง ลูกค้ามีสิทธิ์ปรับเปลี่ยน หรือแก้ไขรายละเอียดได้ทั้งรายละเอียดปลีกย่อยและรายละเอียดสำคัญได้โดยไม่เสียค่าใช้จ่ายเพิ่มเติม
5.3 หลังจากแบบร่างได้รับการอนุมัติแล้ว ผู้สร้างงานจะทำงานต่อเมื่อได้รับการชำระเงินแล้ว กระบวนการชำระเงินจะอยู่ภายใต้ ข้อ 6.
5.4 เมื่อแบบร่างได้รับการอนุมัติแล้ว ลูกค้าจะไม่สามารถขอแก้ไขเพิ่มเติมใดๆ ได้อีก เว้นแต่เป็นความผิดพลากของผู้สร้างรรค์ผลงาน (เช่น รายละเอียดปลีกย่อยขาดหายไป หรือองค์ประกอบไม่ถูกต้องตามเอกสารอ้างอิงที่ให้ไว้)
5.5 ระยะเวลาในการทำงานโดยประมาณคือ 1 สัปดาห์ถึง 1 เดือน ต่อ 1 ผลงาน ระยะเวลานี้อาจแตกต่างกันไปขึ้นอยู่กับความซับซ้อนของงาน
5.7 ผลงานสุดท้ายส่งทาง อีเมล หรือ Google Drive (ผลงานใน Google Drive จะถูกลบภายใน 7 วันที่อัพโหลด)

6. การชำระเงิน

6.1 ลูกค้าจะต้องชำระเงินเต็มจำนวน ภายใน 3 วันหลังจากได้รับคำขอชำระเงิน
6.2 วิธีการชำระเงินต้องได้รับการตกลงจากทั้งสองฝ่าย (PayPal, Wise, Vgen)
6.3 สกุลเงินที่ใช้ชำระต้องเป็น เงินไทย หากเป็นเงินต่างประเทศลูกค้าจะต้องชำราเงินสกุลดอลลาร์สหรัฐ

7. การยกเลิกสัญญาและความรับผิด

ในเงื่อนไขการให้บริการนี้;
7.1 ข้อตกลงนี้จะสิ้นสุดลงภายใต้เงื่อนไขต่อไปนี้โดยไม่ต้องแจ้งให้ทราบล่วงหน้า:

7.1.1 กำหนดเวลาที่ระบุไว้ในข้อ 4.3 หรือ 6.1 ได้สิ้นสุดลงแล้ว
7.1.2 การยกเลิกเริ่มต้นโดยฝ่ายใดฝ่ายหนึ่ง
7.1.3 ผู้สร้างปฏิเสธคำขอไม่ว่าด้วยเหตุผลใดก็ตาม

7.2ผู้สร้างสรรค์ผลงานจะไม่รับผิดชอบต่อความเสียหายใดๆ ที่ไม่ได้เกิดจากความผิดของผู้สร้างในทุกกรณี รวมถึงการเรียกร้องค่าเสียหายนอกเหนือจากสัญญาจ้าง และ การเรียกร้องดอกเบี้ยผิดนัด
7.3 ผู้สร้างสรรค์ผลงานจะไม่คืนเงินที่ได้ชำระไปแล้วไม่ว่าด้วยเหตุผลใดก็ตาม ยกเว้นในกรณีที่มีการยกเลิกโดยผู้สร้างสรรค์ผลงาน หรือเป็นความผิดที่ผู้สร้างสรรค์ผลงานต้องรับผิดชอบ
7.4 กรณีที่การสร้างสรรค์ผลงงานพ้นวิสัยไปบางส่วน ถ้าหากส่วนที่ยังวิสัยยังเป็นประโยชน์แก่ลูกค้าอยู่ ลูกค้าสามารถรับผลงานในส่วนที่ยังเป็นประโยชน์อยู่ได้ โดยหักส่งที่เป็นวิสัยออกจากเงินที่ต้องคืน หรือปฎิเสธการรังงานทั้งหมดและขอคืนเงินเต็มจำนวน (เช่น งานที่มีตัวละครและฉากพื้นหลัง หาก ผู้สร้างสรรค์ผลงาน ไม่สามารถวาดพื้นหลังต่อได้ลูกค้าจะขอรับแค่ตัวละครอย่างเดียวก็ได้โดยที่ ผู้สร้างสรรค์ผลงาน จะคืนเงินในส่วนของค่าฉากพื้นหลัง)
7.5 กรณีมีการคืนเงิน ผู้สร้างสรรค์ผลงานจะจะรับผิดชอบไม่เกินจำนวนสุทธิหลังหักค่าธรรมเนียมที่ได้รับหลังจากธนาคารหรือผู้ให้บริการอื่นที่ให้บริการชำระเงินดังกล่าว (เช่น ชำระเงินมา 100 ธนาคารหักค่าธรรมเนียม 5% เงินที่ได้หลังหักค่าธรรมเนียมเป็น 95 เงินดังกล่าวจะเป็นขอบเขตการคืนเงินที่ผู้สร้างสรรค์รับผิดชอบ)
